By registering as an affiliate ("the Affiliate"), I agree to abide by the terms and conditions of this Affiliate Agreement.

Wherever this agreement refers to "you" or "your", it means "the Affiliate"; "we" or "our" refer to Cantor Gaming, the operator of www.cantorcasino.com and www.redloungecasino.com (“Casinos”) and/or its appointed management company Cantor Gaming Ltd. ("Cantor Gaming"). The term "your Referrals" shall mean players that (i) use the tracking link supplied to you from your website to the casinos’ website (“Casino Websites”) and (ii) open a real-money account with Casinos and (iii) are tagged in the Casinos’ database with the unique Affiliate ID supplied to you.

Introduction

  1. Until you receive written confirmation from us accepting your affiliate application, your affiliate status with us will be treated as 'CONDITIONAL'. No payments shall be made while your account remains in CONDITIONAL status. Typically, applications are approved within three business days.
     
  2. By this Agreement, we grant you the non-exclusive right to direct customers to the Casinos’ websites, in accordance with the terms and conditions of this Agreement.

Terms and Conditions

  1. Net win is defined as gross win less transaction processing, free credits and charge backs.
  2. Affiliates opting to be paid a fixed-fee per referral (also referred to as CPA) will be paid only once the referred player has wagered at least £2,500 at Cantor Casino or £2,500 at RedLounge Casino. Further:
      • The required wagering must be completed within 3 months of the referred player’s account creation date, excluding the month in which account was created.
      • Low-risk wagering will disqualify the player as a referral. A low-risk wager is defined as a wager that has no possibility of a winning outcome, e.g. red and black on roulette or banker/player in Baccarat.
      • Only one CPA payment will be made to you per unique player, household, computer or IP address even if the player creates accounts across multiple casinos participating in the Cantor Gaming Affiliate programme.
  3. The casino reserves the right to end the affiliate relationship at any time if, in its sole opinion, the quality of referred players is unsatisfactory.
  4. Any abuse of the affiliate program will result in immediate termination of your affiliate account and forfeiture of your accrued earnings. No correspondence will be entered into in such case and the casino management's decision will be final.

Your Rights, Obligations and Warranties

  1. As an Affiliate, you agree to create one or more links from your website to the websites of any of the Casinos. We will provide you with a choice of hypertext links and banners which you have non-transferable permission to use in order to link to the Casino Website. You agree not to alter the appearance of these links or banners and further agree not to use any links or banners not pre-approved by Cantor Gaming in writing.
     
  2. You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. We disclaim all liability for these matters. You will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site.
     
  3. You represent, warrant and undertake that:
     
    1. you shall not cause or permit anything to be done which may infringe, damage or endanger any of our, or any third party's, rights (including intellectual property rights) of whatever nature in any jurisdiction;
       
    2. you shall not make any claims, representations, or warranties in connection with us and you shall have no authority to, and shall not, bind us to any obligations.
       
    3. you have the power and authority to enter into and perform all of your obligations and to grant all of the rights purported to be granted under this Agreement;
       
    4. your site shall be free from all viruses, worms, trojan horses, and other contaminants including but not limited to any codes or instructions that may be or will be used to access, modify, delete or damage any data files or other computer programs used by us or any third party; and
       
    5. you will provide us with a full indemnity from any losses (of whatever nature) suffered by us as a result of any third party claims against us as a result of a breach by you of any of the terms of this Agreement.
       
  4. During the term of this Agreement, you may be entrusted with Confidential Information relating to the business, operations, marketing or underlying technology of Cantor Gaming, its business partners and affiliated companies. You agree to avoid disclosure or unauthorized use of the Confidential Information to third persons or outside and that you will use the Confidential Information only for purposes necessary to further the purposes of this Agreement. Your obligations with respect to Confidential Information shall survive the termination of this Agreement for an additional 1 year time period. However nothing in this paragraph will affect your ability to deal with information of which you are independently aware or which (unless caused by your breach) is in the public domain or which you are required by law to disclose.
     
  5. You shall defend, indemnify, and hold Envy Entertainment NV, Cantor Gaming International NV, Cantor Gaming Ltd, their affiliated companies, directors, officers, employees, and representatives harmless from and against any and all liabilities, losses, damages, and costs, including reasonable attorney's fees, resulting from, arising out of, or in any way connected with (a) any breach by you of any warranty, representation, or agreement contained in this Agreement, (b) the performance of your duties and obligations under this Agreement, (c) your negligence or (d) any injury caused directly or indirectly by your negligent or intentional acts or omissions, or the unauthorized use of our banners and link or this affiliate program.
     

Our Rights, Obligations and Warranties
 

  1. We will supply you with instructions on how to link players to the Casino Websites so that the players are tagged with your Affiliate ID.
     
  2. We will register your Referrals and track their play. We reserve the right to refuse your Referrals (or to close their accounts) if necessary to comply with any requirements we have established, which apply equally to all customers that register and play at Casinos. The customer details of all customers that use Casinos belong exclusively to Cantor Gaming, its business partners and/or affiliated companies. You agree that you have absolutely no claim on such data.
     
  3. We will pay you affiliate fees by the 15th of each calendar month for the preceding calendar month. All payments will be due and paid in either UK pounds sterling, US dollars or Euros. If the affiliate fee payable is less than £50 for any month, we will hold those payments until the total amount due is at least £50 or until this Agreement is terminated.

  4. You may access your affiliate report at any time by visiting http://affiliates.kismetstudios.com/affiliates. This online report will specify (i) the total number of new for-money accounts opened by your Referrals, (ii) the total wagers made by your Referrals, (iii) the Gross Casino Win made from your Referrals, and (iv) charge backs incurred from your Referrals.
     
  5. It shall be a condition of your acceptance of this Agreement that you agree that we reserve the right to vary the terms herein upon written notice to you. Upon receipt of that notice you shall have the ability to terminate our Agreement in accordance with these terms or to accept. If you do not respond beyond seven (7) days from your receipt of that notice you shall be deemed to have accepted those new terms.
     
  6. We reserve the right to immediately terminate this Agreement and to remove all links from Affiliate's site, and to sever all links to the Affiliate's Website Pages if any of the following content or activity is present:
    1. Violent images or messages that promote violence;
    2. Promotion of discrimination based on race, sex, religion, national origin, physical disability, sexual orientation or age;
    3. Promotion of illegal activities;
    4. Promotion or display of defamatory, libelous or harmful material or material that otherwise infringes upon the rights of any third parties;
       
  7. All intellectual property rights and goodwill in or relating to Casino Websites and their content (the "Site Intellectual Property") is owned by us or our licensors and you acknowledge and agree that you have no rights in the Site Intellectual Property. On termination you shall remove our links from your site immediately.
     
  8. We make no express or implied warranties or representations with respect to the Affiliate Program. In addition, we make no representation that the operation of our site will be uninterrupted or error-free and will not be liable for the consequences of any interruptions or errors.
     
  9. We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement will not exceed the total affiliate fees paid or payable to you under this Agreement. Nothing in this Agreement shall be construed to provide any rights, remedies or benefits to any person or entity not a party to this Agreement. Our obligations under this Agreement do not constitute personal obligations of Cantor Gaming nor its business partners, affiliated companies, its Directors, officers or shareholders. Any liability arising under this Agreement shall be satisfied solely from the affiliate fee generated and is limited to direct damages.
     
  10. We warrant that we have the power and authority to enter into and perform all of our obligations and to grant all of the rights purported to be granted under this Agreement.

Term and Termination

  1. The Term of this Agreement shall commence from our acceptance and will continue in perpetuity unless either party notifies the other in writing that it wishes to terminate the Agreement, in which case this Agreement may be terminated immediately.
     
  2. Upon termination:
    1. You will remove all of our banners/icons from your site and disable the link from your site to ours.
    2. All rights and licenses given to you in this Agreement shall immediately terminate.
    3. You will be entitled only to those unpaid affiliate fees, if any, earned by you on or prior to the date of termination. You will not be entitled to affiliate fees with respect to play occurring more than 90 days after the date of termination.
    4. If you have failed to fulfill your obligations and responsibilities, you shall forfeit any affiliate fees then or subsequently owing to you.
    5. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid.
    6. If we continue to permit play for your Referrals after termination, this will not constitute a continuation or renewal of this Agreement or a waiver of termination.
    7. You will return to us any confidential information and all copies of it in your possession, custody and control and will cease all uses of any trade names, trademarks, service marks, logos and other designations of Casino Websites.

    Miscellaneous

    1. The Agreement constitutes the entire agreement between the parties with respect to its subject matter.
       
    2. You may not without our prior written approval assign, transfer, license or deal with any of our rights under the Agreement or sub-contract any of our obligations. We are free to assign or license the benefit of this Agreement.
       
    3. Cantor Gaming and the Affiliate are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this paragraph.
       
    4. Cantor Gaming and the Affiliate agree that the terms of this Agreement and the Agreement itself are confidential and neither party shall divulge the business terms and conditions of this Agreement or the existence of the Agreement itself without the prior written consent of the other party.


      Governing Law

      The Agreement shall be governed and interpreted in accordance with the laws of England and Wales and the parties submit to the non - exclusive or exclusive jurisdiction of the English courts (the decision as to which at our absolute discretion) although if you are a English based affiliate we both agree to submit to the exclusive jurisdiction of the English courts.
